물적분할(Split-off)이란 원래 존재했던 회사(모회사)가 분할되는 기업의 주식을 100% 보유하는 기업분할 방식을 말한다.
모회사는 물적분할을 통해 새로 생기는 기업(신설법인)으로 분리할 사업부를 자회사 형태로 보유해 자회사에 대한 지배권을 계속 유지한다.
분할 주체가 신설회사의 주식을 100% 소유하는 형태이므로 주주들은 종전과 다름없는 지분가치를 누린다.
